Transfer of Shares of Mitsubishi Chemical Logistics Corporation

Mitsubishi Chemical Corporation (Head Office: Chiyoda-ku, Tokyo; President: Manabu Chikumoto; hereinafter “MCC”) hereby announces its decision to transfer all shares of Mitsubishi Chemical Logistics Corporation (Head Office: Minato-ku, Tokyo; President: Tadashi Kusumoto; hereinafter “MCLC”), its wholly owned subsidiary, to SBS Holdings, Inc. (Head Office: Shinjuku-ku, Tokyo; Representative Director: Masahiko Kamata; hereinafter “SBS”).
1. Background and purpose
MCLC has long supported MCC and its group companies (hereinafter “MCC Group”) as a chemical logistics company, handling transportation and storage operations for MCC Group’s products and raw materials, as well as on-site logistics at manufacturing sites. However, the operating environment of the logistics industry has experienced drastic changes in recent years. Maintaining and strengthening competitiveness requires greater management resources each year to address labor shortages, comply with environmental regulations, and drive digital transformation.
Against this backdrop, MCC has concluded that MCLC is best managed by a logistics specialist to ensure the stable operation of MCC Group’s logistics functions and to drive MCLC’s further growth. Accordingly, MCC has decided to transfer all of its shares in MCLC to SBS, a comprehensive logistics provider.
Going forward, MCLC aims to strengthen its specialized chemical logistics capabilities by leveraging SBS’s extensive network, operational expertise, and diverse customer base, while also fostering cross-industry collaboration and driving efficiency to help advance the chemical logistics sector.
MCC will continue to work closely with MCLC as its key logistics service provider to ensure a safe, stable, and efficient logistics system for MCC Group, with a view to further developing a sustainable supply chain.
