Transfer of Synthetic Resin Emulsion Business

Mitsubishi Chemical Corporation (Head office: Chiyoda-ku, Tokyo; President and CEO: Manabu Chikumoto; hereinafter, “the Company”) hereby announces that it has concluded a stock transfer agreement with Konishi Co., Ltd. (Head office: Chuo-ku, Osaka; President: Hirofumi Matsubata; hereinafter, “Konishi”), effective February 17, 2026, to transfer the synthetic resin emulsion business of Japan Coating Resin Corporation (Head office: Osaka-shi, Osaka; President: Tomoji Kubo; hereinafter, “JCR”), which is the Company’s wholly owned subsidiary, and the Company’s acrylic emulsion business.
1. Background and purpose
Since its establishment in 1959, JCR has been primarily engaged in the development, manufacture, and sales of synthetic resin emulsions, flexibly providing proprietary products for a wide range of applications such as adhesives, paint, textiles, paper, civil engineering and construction, cosmetics and other daily necessities, and new materials for cutting-edge industries, and has been highly rated by its customers, who are mainly in Japan.
The Company, which has been reforming its business portfolio based on its Medium-Term Management Plan 2029, is seeking to ensure sustainable growth and a stronger competitive edge for JCR’s synthetic resin emulsion business and the Company’s acrylic emulsion business, and therefore decided that the best option would be to operate the businesses under the best owner, which led to the decision to transfer them to Konishi.
